Terms of Service

4.1 Restrictions

You shall not, and shall not permit any third party acting on your behalf to:

1. use the Website in violation of any Applicable Law or in a manner that infringes the rights of any third party;
2. attempt to gain unauthorized access to any part of the Website, related infrastructure, or any account or data hosted by or on behalf of Base14;
3. introduce, transmit, or upload any virus, trojan horse, worm, ransomware, or other malicious code through or to the Website;
4. interfere with, disrupt, or impair the operation of the Website or any servers or networks connected to the Website, including by means of denial-of-service or distributed denial-of-service attacks;
5. use robots, spiders, scrapers, crawlers, or other automated means to access or copy the Website in a manner that disregards the Website’s robots.txt or other machine-readable access directives, or that imposes an unreasonable load on the Website, including for the purpose of training machine-learning or AI models. Indexing by general-purpose search engines in accordance with those directives is permitted;
6. conduct security testing, vulnerability scanning, or penetration testing against the Website or its infrastructure, except as permitted by Section 4.2 or with Base14’s prior written authorization obtained from legal@base14.io;
7. remove, modify, or obscure any copyright, trademark, or other proprietary notices on the Website Content; or
8. frame, mirror, scrape, or republish any portion of the Website Content for commercial purposes without prior written consent from Base14.

4.2 Vulnerability Disclosure

If you discover a security vulnerability in the Website, report it to legal@base14.io with enough detail for Base14 to reproduce it. Base14 will acknowledge receipt within five (5) business days and keep you informed of remediation progress.

Base14 will not pursue civil action or refer to law enforcement any security research on the Website that meets all of the following conditions (the “Safe Harbor Conditions”):

1. you make a good-faith effort to avoid privacy violations, degradation of the Website, and destruction or modification of data;
2. you access only the minimum data necessary to demonstrate the vulnerability, do not retain, copy, or disclose any data belonging to Base14 or third parties, and delete any such data obtained inadvertently;
3. you do not conduct denial-of-service testing, social engineering of Base14 personnel, or physical testing of Base14 premises;
4. you do not exploit the vulnerability beyond what is necessary to confirm it, and you do not use it to pivot to other systems; and
5. you report the vulnerability to Base14 promptly and do not disclose it publicly until Base14 has confirmed remediation or ninety (90) days have elapsed since your report, whichever is earlier.

Research conducted in accordance with the Safe Harbor Conditions is authorized for the purposes of Section 4.1(b) and 4.1(f) and, to the extent Base14 can grant it, of the Information Technology Act, 2000 and equivalent computer-misuse laws. Base14 may publish further guidance, including any systems out of scope, at base14.io/security. If that guidance and this Section conflict, this Section prevails.

5.1 Ownership

The Website and the Website Content are owned by Base14 or its licensors and are protected by copyright, trademark, and other intellectual property laws.

“Base14,” the Base14 logo, and the names, logos, and slogans of Base14’s products are trademarks of Base14 or its affiliates. You shall not use any such marks without prior written consent from Base14, except as permitted under fair use or fair dealing doctrines under Applicable Law.

5.2 Limited Permission

Subject to your compliance with these Terms, Base14 grants you a limited, revocable, non-exclusive, non-transferable permission to access and view the Website and to download or print individual pages for your personal reference or for internal reference within your organization, including for evaluating Base14’s products and services. Any redistribution, resale, or other commercial use of the Website Content requires prior written consent from Base14.

5.3 Open-Source Content

Where Base14 publishes content or software under an open-source license, that license governs your use of it and prevails over Sections 4 and 5. It does not grant any right to use Base14’s trademarks.

5.4 IP Infringement Notices

If you believe Website Content infringes your intellectual property rights, send a notice to legal@base14.io identifying the work, your right to it, the material and its location on the Website, your contact details, and a good-faith statement that the use is not authorized.

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law rules.

12.2 Dispute Resolution

The courts of Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Website.

If you are an individual and mandatory law in your country of residence gives you the right to bring proceedings in your local courts, to rely on local consumer-protection law, or to complain to a data protection or consumer authority, nothing in this Section 12 removes that right.

Nothing in this Section 12 prevents Base14 from seeking injunctive or equitable relief from any court of competent jurisdiction to protect its intellectual property or confidential information.

13.1 Entire Agreement

These Terms, together with any license terms attached to specific Website Content, constitute the entire agreement between you and Base14 regarding your use of the Website and supersede all prior agreements and communications relating to the same subject matter. The Privacy Policy describes how Base14 processes Personal Data and is a notice, not a contractual term.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

No failure or delay by Base14 to enforce any right under these Terms shall constitute a waiver of that right. A waiver is effective only if given in writing and signed by Base14.

13.4 No Assignment

You shall not assign or transfer these Terms or any rights hereunder. Base14 may assign these Terms to an acquirer of all or substantially all of its business or assets, or to any of its affiliates, by posting a notice on the Website.

13.5 No Third-Party Beneficiaries

These Terms confer no rights or remedies upon any person other than you and Base14.
